Our Funds team possesses an extensive and in-depth knowledge, understanding and experience in advising domestic as well as international private equity, venture capital and other alternative investment funds, as well as the investee companies. Our team has both the technical as well as practical expertise, which enables us to meet the requirements of our clients and their business necessities, and provide them with bespoke solutions and creative strategies. Our advisory commences from the stage of initial investment and can continue until the exit, where we assist and advise on structuring the transaction, negotiating and drafting definitive documentation, undertaking legal due diligence and offering guidance on a variety of legal and commercial issues; in the past, our attorneys have advised on Series A, B & C as well as venture capital financing.
Apart from advising on private equity transactions, our attorneys also possess considerable experience in the structuring and setting up of domestic and offshore alternative investment funds, as well as the registration of the said funds, in accordance with the rules and regulations issued by the Securities and Exchange Board of India. We advise clients on all legal and regulatory aspects associated with the formation of a fund and its life cycle; our experienced attorneys combine their transactional experience with industry knowledge to develop innovative structures. In furtherance thereof, we also draft, negotiate, review and finalize the fund documentation (such as private placement memorandum, contribution agreement, investment management agreement, trust deed etc.) for both domestic as well as offshore funds. We also advise on the legal and regulatory framework governing portfolio managers, investment advisers, research analysts and mutual funds.
